These Terms & Conditions outline how Iron Hex Labs provides web design, development, and related digital services. They cover important information about project scope, deposits and payments, ongoing support, termination of agreements, intellectual property, and client responsibilities. By engaging our services or making a payment, you agree to these Terms.

These Terms & Conditions (“Terms”) govern the provision of services by Iron Hex Labs (“we”, “us”, “our”) to you (“the client”, “you”). By engaging our services, approving a proposal, making a payment, or instructing us to begin work, you agree to be bound by these Terms.
1. Acceptance of Terms
By submitting an enquiry, approving a quotation or proposal, making a payment, or instructing Iron Hex Labs to commence work, you confirm that you have read, understood, and accepted these Terms & Conditions.
These Terms form a legally binding agreement between you and Iron Hex Labs.
2. Services
Iron Hex Labs provides website design, development, SEO-related services, website support, maintenance, and associated digital services.
All services are provided on either:
- A fixed project basis, or
- An ongoing support / retainer basis
As agreed in writing (email confirmation is sufficient unless otherwise stated).
3. Proposals, Contracts & Scope of Work
Each project is defined by an agreed scope of work, outlined in a proposal, quotation, or written communication.
- Any work outside the agreed scope may be subject to additional charges.
- Requests that materially change the scope, complexity, or timeline of a project may require a revised quote.
- Iron Hex Labs is not responsible for delays caused by late feedback, missing content, or failure to provide required information.
No additional work is included unless explicitly agreed.
4. Deposits & Payments
4.1 Deposits
- A non-refundable deposit of 50% of the total project cost is required before work begins, unless otherwise agreed in writing.
- No work will commence until the deposit has been received.
4.2 Final Payment
- The remaining balance is due upon project completion and before final launch, unless otherwise agreed.
- Iron Hex Labs reserves the right to withhold launch, files, or access credentials until full payment is received.
4.3 Late Payments
- Invoices must be paid within the timeframe stated.
- Late payments may result in paused work, delayed delivery, or suspension of services.
- Continued non-payment may result in termination of the agreement.
5. Ongoing Support, Maintenance & Retainers
Where ongoing services are provided:
- Services are billed monthly unless otherwise agreed.
- Payments are due in advance of the service period.
- Retainers may be cancelled with 30 days’ written notice, unless a fixed-term agreement applies.
- No refunds are provided for partially used service periods.
6. Termination of Agreement
6.1 Termination by Either Party (30 Days’ Notice)
Either party may terminate an agreement for ongoing services by providing no less than 30 days’ written notice.
Notice must be given in writing via email to hello@ironhexlabs.com (or the agreed project email address).
Services and obligations continue during the notice period unless otherwise agreed.
6.2 Termination of Fixed Projects
For one-off or fixed-scope projects:
- Either party may terminate the agreement by written notice.
- Deposits are non-refundable once work has commenced.
- The client remains responsible for payment for all work completed up to the termination date.
- Any outstanding invoices become immediately payable.
6.3 Immediate Termination by Iron Hex Labs
Iron Hex Labs reserves the right to terminate an agreement immediately if:
- Payments are overdue or repeatedly late
- These Terms are breached
- Communication breaks down to the extent work cannot reasonably continue
- The client behaves abusively, unreasonably, or in bad faith
- The client requests unlawful, unethical, or misleading activity
In such cases, the client remains liable for payment for all work completed.
6.4 Effect of Termination
Upon termination:
- All outstanding invoices become immediately payable
- Ongoing services may be suspended
- Iron Hex Labs is not obligated to provide further revisions or support
- Intellectual property rights transfer only upon full payment
7. Client Responsibilities
The client agrees to:
- Provide accurate information and materials in a timely manner
- Ensure they have the legal right to use all supplied content, images, logos, and media
- Review work promptly and provide feedback within reasonable timeframes
Delays caused by the client may affect project timelines and delivery dates.
8. Intellectual Property & Usage Rights
- Upon full payment, the client is granted ownership of the final website and content created specifically for them.
- Iron Hex Labs retains the right to display completed projects in portfolios, case studies, and promotional materials unless otherwise agreed.
- Third-party assets (themes, plugins, fonts, stock images) remain subject to their original licences.
9. SEO & Performance Disclaimer
While Iron Hex Labs builds websites using SEO best practices:
- We do not guarantee specific rankings, traffic levels, leads, or business outcomes.
- Search engine performance depends on external factors beyond our control, including competition, algorithm updates, and client actions.
10. Third-Party Services & Hosting
Unless explicitly stated, hosting, domain registration, email services, and third-party software are provided by external providers.
Iron Hex Labs is not liable for:
- Hosting downtime
- Data loss caused by third parties
- Changes to third-party platforms or software
11. Limitation of Liability
To the fullest extent permitted by law:
- Iron Hex Labs shall not be liable for indirect, incidental, or consequential losses.
- Total liability shall not exceed the total amount paid by the client for the services provided.
- We are not responsible for losses arising from third-party services or client-supplied content.
12. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information shared during the course of a project, unless required by law.
13. Force Majeure
Iron Hex Labs shall not be liable for delays or failure to perform services due to circumstances beyond reasonable control, including but not limited to acts of God, illness, technical failures, or third-party service outages.
14. Variation of Agreement
Any changes to these Terms or to an agreed scope of work must be confirmed in writing. Verbal agreements are not binding unless documented.
15. Governing Law
These Terms & Conditions are governed by and interpreted in accordance with the laws of England and Wales.
16. Changes to These Terms
Iron Hex Labs reserves the right to update these Terms at any time. Updated versions will be published on this website and apply to future work.
